Terms and Conditions

1. Introduction

Welcome to Travelstar and Tours Ltd (Travelstar). This document sets forth Terms (T’s) and Conditions (C’s) governing the use of Travelstar travel management platform, which includes our corporate travel management website, the Travelstar mobile application, and all associated products. These policies apply broadly to our managed business travel solutions, provided exclusively for corporate clients. The Use of any Travelstar service is subject to these terms and conditions, alongside any written Service Level Agreement (SLA) between Travelstar and the Customer.

2. Access and Eligibility

2.1. Restricted Access

Access to Travelstar travel management platform is strictly limited to:

  1. Employees, contractors and authorized partners of Travelstar corporate clients.
  2. Organizations that have entered into a formal partnership with Travelstar for managed travel solutions.

Travelstar’s Travel Management services are not available for general consumer use and are designed specifically to support the travel management needs of Travelstar’s corporate clients.

2.2. Eligibility for Corporate Clients

Travelstar travel management platform and its services are tailored for corporate travel management across various industries. While Travelstar’s solutions are primarily designed for existing corporate clients, new eligible companies may partner with Travelstar to access its services.

3. Features and Functionality

The Travelstar travel management platform, offers comprehensive tools for corporate travel, including:

  1. Flight booking and reservations.
  2. Profile management and travel policy integration.
  3. Trip tracking and itinerary management.

All features require user authentication and are exclusively available to corporate clients linked to a registered account.

4. Notification of Travel Process

Upon booking, the Customer will be notified of the designated Third-Party service provider handling the travel process.

5. Booking T’s and C’s

5.1. Acceptance of Terms

By accessing the Travelstar travel management platform, the Customer and Passenger agree to be bound by the following terms:

  1. It has read and understood the Travelstar booking T’s and C’s, and written Service Level Agreement and agrees to be legally bound by their provisions.
  2. It consents to Travelstar’s collection, processing, and usage of personal information, including but not limited to booking details in full compliance with Travelstar’s Privacy Policy.
  3. Confirms that all information provided during the booking process is accurate and up-to-date and take responsibility for any consequences arising from incorrect or incomplete details.
  4. It understands that any modifications, cancellations, or changes to bookings may be subject to Third-party service provider policies which may have separate terms governing service usage and accept the terms governing such amendments.
  5. Acknowledge and accept full financial responsibility for the payment of any Travel Management Services booked, including those arranged on behalf of other persons listed in the booking.
  6. Agree to comply with all applicable travel regulations, policies and requirements, including but not limited to visa, health and insurance obligations as stipulated by law or Third-Party service providers policy.
  7. Acknowledges that Travelstar is acting as an intermediary between the Customer/Passenger and Third-Party service providers and agrees that any claims, disputes or liabilities relating to service quality, execution, or compliance shall be addressed directly with the Third-party service provider.

6. Compliance and Responsibilities

6.1 Customer Responsibilities

Customers shall:

  1. Ensure that each Passenger is aware of these terms and conditions prior to booking.
  2. Comply with all applicable travel requirements, including visa, health and insurance regulations.
  3. Provide accurate and complete booking information and take responsibility for any errors.
  4. Accept financial responsibility for all bookings made.

6.2 Third-Party Policies

Bookings made through Travelstar travel management platform may be subject to the terms of third-party service providers. Customers agree to adhere to any applicable Third-Party policies governing amendments, cancellations or modifications.

7. Conflict Resolution

In the event of any inconsistency between these booking T’s and C’s and a written SLA, the written SLA shall take precedence only to the extent of such inconsistency.

8. Definitions

In this Document, unless the context otherwise requires, the following terms shall have the meanings assigned to them:

“Account” means Travelstar user account created for corporate employees, contractors, or authorized partners of Travelstar’s corporate clients. This account grants secure access to the Travelstar travel management platform, enabling users to book and manage corporate travel in accordance with their company’s policies and travel preferences.

“Booking” means a reservation made by a Customer through the Travelstar travel management platform for travel-related services, including flights, accommodations, tours and other travel arrangements.

“Travelstar Travel Management Platform” means the entire integrated system provided by Travelstar for corporate travel management. This includes the Travelstar website, the Travelstar mobile application, all underlying technology, systems, features, functionalities, and any other tools or interfaces Travelstar offers to facilitate its Travel Management Services.

“Content” refers any material displayed or made available on the Travelstar travel management platform, including text, images, videos, travel listings and multimedia resources.

“Customer” means a corporate entity that engages Travelstar for Travel Management Services, including its employees, contractors and authorized partners who access the Travelstar platform.

“Intellectual Property” includes all proprietary materials owned by Travelstar or its affiliates, including trademarks, copyrighted content, branding, Internet Domain Names, Service Marks, Know-How, Databases, Trade and Business Names, whether or not registered, and any applications for any of the foregoing.

“Passenger” means any person for whom Travelstar provides Travel Management Services based on instructions from the Customer.

“Third-Party” refers to companies or individual service providers that offer travelrelated services such as airlines, hotels, transportation providers, tour operators, etc.

“Travel Management Services” means Travelstar’s comprehensive suite of corporate travel solutions, including booking assistance, customer support, travel information and coordination of travel arrangements, delivered via the Travelstar travel management platform.

“Website” means the online interface operated by Travelstar, providing services, content, and functionalities related to travel management and associated offerings, forming a component of the Travelstar travel management platform.

9. General

  • The Customer authorises Travelstar to act as its disclosed agent in providing Travel Management Services through the Travelstar travel management platform. The Customer designates Travelstar to act on its behalf for this purpose. During booking, Travelstar facilitates the establishment of a contract between the Customer and the appropriate Third-Party service providers responsible for delivering the requested travel services.
  • The Customer shall adhere to Travelstar booking T’s and C’s, as well as the policies set forth by Third-Party service providers accessed via Travelstar’s Travel Management Platform. Both Customers and Passengers should thoroughly review these terms before making any booking, as Third-Party service providers may impose limitations on liability. Copies of these terms are available from Travelstar upon request.
  • Travelstar shall not be liable for any failure, default, or service deficiency caused by a Third-Party service provider, nor for any loss, claim, expense, damage, or injury, whether direct or indirect, incurred by Customers or Passengers. Travelstar does not act in a fiduciary capacity for the Customer and does not hold fiduciary obligations. The Customer retains sole discretion in accepting quoted Travel Management Services based on their satisfaction with the offer provided.
  • Travelstar offers Travel Management Services to Customers on an ongoing basis. Unless explicitly stated otherwise in writing, Travelstar may process requests from any employee, agent, or representative of the Customer, and the Customer shall be bound by such requests.
  • All booking cancellations or modifications requested by the Customer or Passenger must be made in accordance with the respective Third-Party service provider’s cancellation policies. Travelstar is not responsible for penalties or non-refundable charges imposed by Third-Party service providers.
  • Travelstar does not provide travel insurance and is not liable for any financial or personal losses resulting from a lack of coverage. Customers are advised to secure appropriate travel insurance policies to mitigate risks associated with their travel arrangements.

10. Payments and Financial Obligation

  • At the Customer’s request, Travelstar, acting as a disclosed Agent, will facilitate the establishment of a contract between the Customer and/or any Passenger and Third-Party service providers for Travel Management Services. The Customer agrees to promptly pay Travelstar all applicable costs, fees, taxes, and other charges invoiced by Travelstar in connection with these Services.
  • If Travelstar extends credit facilities to the Customer, payments must be made within the specified credit limit and period outlined in the Service Level Agreement (SLA). However, invoices related to foreign currency transactions or traveller’s cheques require immediate payment upon receipt.
  • If credit facilities are not granted or are revoked, Travelstar may require advance payment for any transactions. Travelstar reserves the right to deny or terminate credit facilities at its discretion, and upon withdrawal, all outstanding amounts become immediately due.
  • When the Customer makes payments to Travelstar that are designated for Third-Party service providers, Travelstar holds these funds in trust for the Customer. The funds are then transferred to the relevant provider in accordance with the agreed terms.
  • For Payments involving foreign currency, the Customer shall bear any additional costs related to currency conversion rates, bank charges or transaction fees.
  • Payment to Travelstar does not constitute direct payment to the Third-Party service provider responsible for delivering the booked Travel Management Services. Travelstar acts solely as an intermediary. However if Travelstar receives funds from a Third-Party service provider for the benefit of the Customer, the Third-Party service provider’s obligation to remit the funds shall be deemed fully satisfied.
  • If Travelstar issues a consolidated invoice to the Customer for bookings on Travel Management Services, payments due to Travelstar shall be made between the 1st and 14th of any month. Such payments must be cleared by the second-to-last working day of that same month, and for bookings made between the 15th and the final day (inclusive) of the month, payment must be cleared by the 14th of the following month.
  • Value Added Tax (VAT) will be levied at the prevailing rate in effect on the date of provision of the Travel Management Services. This charge will be applied in accordance with relevant tax regulations.
  • If the Customer fails to make payment within the stipulated credit period, Travelstar reserves the right to impose late payment fees, interest charges or notify Third-Party service providers to cancel the booking (who may impose cancellation fees on the Customer as outlined in their policy) or suspend further Travel Management Services until outstanding amounts are settled.
  • Travelstar may receive commission payments from third-party service providers for facilitating bookings. However, the presence or absence of commissions does not influence Travelstar’s selection of service providers. Travelstar remains committed to securing Travel Management Services based solely on quality, reliability, and suitability rather than financial incentives.
  • The Customer must ensure all payments are made through travelstar-recognised methods, including bank transfers, credit cards, or online payment gateways. Travelstar reserves the right to reject payments made through unapproved or fraudulent channels.
  • For any payment-related disputes, the Customer must notify Travelstar within five (5) business days from the date the issue arises. Unauthorised charge backs orpayment reversals without prior discussion may lead to legal action and/or suspension of Travel Management Services by Travelstar.

11. Modifications, Cancellations and Refunds Policies

  • All requests for modifications, cancellations, or refunds for booked Travel Management Services shall be subject to the policies of the respective Third-Party service provider. While Travelstar facilitates such requests through its platform, it does not assume liability for any refunds, penalties, or changes imposed by Third-Party service providers.
  • Third-Party service providers may charge modification or cancellation fees as outlined in their policies. These fees may be as high as 100% of the total cost and are likely to increase as the departure date approaches. Additionally, the Customer is responsible for paying Travelstar’s administrative fee for any modifications or cancellations made through the platform.
  • If a modification, cancellation, or refund requires approval or calculation by a Third-Party service provider, the Customer remains liable for the full invoice amount. Refunds will only be processed by Travelstar and become due to the Customer after Travelstar has received the approved funds from the respective Third-Party service provider.
  • Any modifications requested by the Customer for Travel Management Services will incur charges. To initiate changes, the Customer must submit a formal request using the designated form. Upon submission, Travelstar will provide a detailed breakdown of applicable fees and the estimated timeline for processing the modification. The Customer shall review and explicitly accept these terms before any changes are implemented.
  • To receive a credit note or refund for unused Travel Management Services, the Customer shall submit the appropriate documentation related to those services to Travelstar. However the processing of refunds remains subject to the policies of the relevant Third-Party service provider. If the required documentation is not provided, the Customer is deemed to accept the invoice and payment must be made in line with the standard terms outlined in this document.
  • If a Third-Party service provider makes a significant change to or cancels a booking, Travelstar will notify the Customer/Passenger as soon as reasonably possible. As the Customer’s agent, Travelstar will facilitate communication between the Customer and the service provider to explore alternative options. However, Travelstar will not be held liable for any failure by the Third-Party service provider regarding any alternative services offered by the service provider to deliver the booked Travel Management Services.

12. Limitation of Liability

  • Travelstar, its affiliates, officers, directors, employees, sub-contractors, agents, and licensors, shall not be liable to the Customer or Passenger for any indirect, incidental, consequential, special, or punitive damages. This includes, but is not limited to, losses related to profits, data, usage, goodwill, or other intangible assets arising from or connected to the use of the Travelstar travel management platform or the services provided through it.
  • The contractual relationship for Travel Management Services exists directly between the Customer and the respective Third-Party service provider, and the respective provider’s policies apply. Travelstar acts solely as an agent for the Customer and is not responsible for the actual fulfillment of Travel Management Services. Travelstar’s obligations are limited to identifying and coordinating travel services based on instructions received from the Customer or Passenger at the time of booking.
  • Travelstar is not liable for any information it conveys in good faith regarding Travel Management Services. While Travelstar endeavours to provide accurate and up-to-date details, it does not warrant the accuracy, completeness, or reliability of pricing, availability, or other information supplied by Third-Party service providers.
  • Travelstar’s Liability for Travel Management Services, as provided based on the Customer’s booking instructions, shall not exceed the total amount, if any, that the Customer paid for the use of Travelstar’s services.
  • The Customer acknowledges the need to secure adequate insurance coverage to protect against potential losses, claims, expenses, damages, or injuries related to the provision of Travel Management Services or any resulting transactions.

13. Indemnification

  • The Customer/Passenger agrees to indemnify and hold Travelstar harmless from any claims, losses, damages, liabilities, costs and expenses, including legal fees) arising from their use of Travelstar’s travel management platform, any breach of these T’s and C’s or their violation of any Third-Party service provider policy.

15. Amendments/Variations

  • Travelstar reserves the right to amend or modify these T’s and C’s without prior notice. Any such updates will take effect immediately upon publication on the Travelstar travel management platform.
  • By continuing to use the Travelstar travel management platform following the publication of revised Terms, the Customer/Passenger expressly acknowledges and accepts the updated provisions. Customer/Passenger acceptance of the changes. Customers/Passengers are advised to review these T’s and C’s periodically to stay informed of any modifications.

16. Data Privacy and Protection

Travelstar and the Customer represents, warrants and undertakes to each other as follows:

  • Each Party is duly incorporated and validly existing and in good standing under the laws of its place of establishment.
  • Each Party possess the legal capacity and authority to fulfil its obligations under this Agreement.
  • Both Parties have obtained and will maintain all necessary national data protection authorities or relevant regulatory bodies ensuring compliance with applicable laws.
  • The Customer shall ensure that all instructions provided to Travelstar concerning Personal Data are lawful, reasonable, and compliant with applicable regulations. Travelstar retains the right to decline any instructions that conflict with data protection laws, including the NDPA and NDPR, or that undermine compliance with an existing Service Level Agreement.
  • Travelstar, including its affiliates, officers, directors, employees, subcontractors, and agents, agrees to fully comply with all applicable data protection laws, including necessary registration with regulatory authorities. Travelstar shall process Personal Data strictly in accordance with the Customer’s instructions or as reasonably necessary for the delivery of Travel Management Services, ensuring alignment with legal obligations.
  • The Customer shall obtain all necessary consents and permissions from Passengers and personnel using Travel Management Services to enable Travelstar to handle Personal Data. This includes sharing data with Third-Party service providers, travel monitoring and transferring data upon Customer instructions to relevant Third-Party entities.
  • Travelstar shall act as a Data Processor when acting on behalf of the Customer and adhere to the Customer’s explicit instructions regarding the processing of Personal Data. Travelstar will not use the data for any purposes other than providing Travel Management Services and related operations, ensuring compliance with the principles of transparency, fairness, and lawfulness outlined in the NDPA.
  • The Customer agrees to provide accurate information on the Personal Data of Passengers and personnel connected to the provision of the Travel Management Services and assumes responsibility for ensuring that such Personal Data is current for seamless service delivery.
  • Travelstar may disclose Personal Data provided by the Customer when legally compelled to do so by applicable laws or regulations. Additionally, Travelstar may process Personal Data for marketing purposes, including promotional communications. This processing will occur only with the Customer’s explicit consent, which may be withdrawn at any time without affecting the lawfulness of prior processing.
  • Travelstar shall implement comprehensive technical and organizational measures to safeguard Personal Data from unauthorised access, loss, or damage. Individuals tasked with data handling will be vetted to ensure reliability, integrity and compliance with security protocols.
  • In adherence to applicable data protection laws, including the NDPA and the NDPR, Travelstar shall take all necessary steps to prevent actions that could compromise the Customer’s compliance. Any suspected or confirmed data breaches, unauthorised access or loss of Personal Data will be promptly reported to the Customer.
  • Prior to subcontracting any data processing activities to third parties, Travelstar shall obtain the Customer’s prior written consent. Additionally, the transfer of Personal Data outside Nigeria shall not occur unless expressly authorised by the Customer and conducted in strict accordance with applicable legal requirements.

17. Governing Law and Dispute Resolution

  • These T’s and C’s shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any dispute arising out of or relating to this document or the Travelstar travel management platform shall be subject to the exclusive jurisdiction of the courts located in Nigeria.

18. Permitted Use

  • The Travelstar travel management platform is provided exclusively for corporate travel management purposes and is intended for the personal use of authorised users within Travelstar’s corporate client network. Unauthorised commercial exploitation of the platform, including but not limited to data mining, automated interactions, or other disruptive practices, is strictly prohibited.
  • Customers/Passengers are authorized to access and utilise the Platform exclusively for legitimate and lawful purposes in accordance with the T’s and C’s contained herein. Permitted uses include browsing Travelstar travel management platform to review available Travel Management Services and destinations, searching for and booking corporate Travel Management Services in compliance with company policies, and making legitimate inquiries related to managed business travel services offered by Travelstar.
  • Customers/Passengers shall not engage in any conduct that compromises the security, functionality, or integrity of the platform and must refrain from engaging in activities that interfere with the experience of other users, including but not limited to fraudulent, unlawful, or unauthorised activities while using the platform.
  • By accessing and using Travelstar travel management platform, the Customer/Passenger agrees to comply with all applicable laws and regulations and corporate policies governing Travelstar Travel Management products and responsible for utilising the platform in a way that protects Travelstar’s interests and maintains the integrity of its services.

19. Security and Third-Party Links

  • The Travelstar travel management platform may contain links to Third-Party links that are neither owned nor controlled by Travelstar. As such, Travelstar assumes no responsibility for the content, privacy practices, or operational policies of any external links.
  • The Customer hereby acknowledges that Travelstar is not responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any content, goods, or services available on or through any Third-Party link.
  • The Customer/Passenger are advised to review the terms, conditions, and privacy policies of any Third-Party links they visit to ensure their rights and data are adequately protected.

20. Intellectual Property

  • All content available on the Travelstar travel management platform, including but not limited to text, graphics, logos, images, audio, video, software, and any other materials, is the exclusive property of Travelstar or its licensors. These assets are safeguarded by applicable intellectual property laws, including but not limited to copyright laws, trademark laws, and trade secret protections. Any unauthorised reproduction, modification, or distribution of any content is prohibited and may result in legal action, including but not limited to injunctions, damages claims, and penalties.
  • Travelstar grants the Customer a revocable, limited, non-exclusive, non-transferable licence to access and use the Travelstar travel management platform strictly for authorised corporate travel management purposes. This licence is contingent upon full compliance with these Terms and Conditions. The Customer acknowledges that the licence does not confer ownership rights, nor does it authorise use beyond the scope expressly permitted in this document.
  • All trademarks, service marks, logos, trade names, and other branding elements displayed on the Travelstar travel management platform are exclusively owned by Travelstar, whether registered or unregistered. Unauthorised use, reproduction, or misrepresentation of these trademarks is prohibited. Customers must obtain explicit written permission from Travelstar prior to using any of these marks for advertising, promotional materials, or any other purpose.
  • Any content featured on the Travelstar travel management platform that is not owned by Travelstar, such as Third-Party logos, brand names, or materials, remains the property of their respective owners. Travelstar utilises such Third-Party intellectual property with permission or as permitted under applicable laws. Customers seeking to use third-party content must obtain authorisation directly from the relevant owner before proceeding.
  • Customers are prohibited from copying, reproducing, distributing, or otherwise utilising any content from the Travelstar travel management platform for commercial or public purposes without prior express written consent from Travelstar. Travelstar reserves the right to fully enforce its intellectual property rights permitted by law. Violations of these provisions may result in legal consequences, including injunctions, damage claims, and financial penalties.

21. Account Creation Process

User accounts are not self-generated they are created by Travelstar upon request from corporate entities that have partnered with Travelstar for Travel Management Services. The process follows these steps:

  • To obtain an account, a company must first establish a formal agreement with Travelstar, to access its Travel Management Solutions.
  • The corporate entity submits a request to Travelstar for employee or partner account creation.
  • Approved users are then provided with authentication credentials, such as a username and password, which allow them to log in to the Travelstar platform.
  • The account is configured to reflect the company’s travel policies and preferences, ensuring compliance with booking regulations.
  • Once authenticated, users can securely access flight bookings, trip tracking, and profile management features through their authenticated corporate account.

22. Terms of Booking

  • A booking fee applies to all reservations made through the Travelstar travel management platform. This fee is non-refundable and is disclosed to the Customer during the booking process.
  • Travelstar acts solely as the Customer’s disclosed agent that connects the Customer with Third-Party service providers. By proceeding with a booking through the Travelstar travel management platform, the Customer acknowledges that it is entering into a legally binding contract directly with the respective Third-Party service provider. This contract is governed by the policies of the Third-Party service provider, which are available upon request. It is the Customer’s sole responsibility to review and understand these terms prior to booking.
  • Travelstar is not a party to any contract entered into between the Customer and a Third-Party service provider and assumes no liability for any default, failure, or defects in the performance of services by the Third-Party service provider. The Customer hereby agrees that Travelstar shall not be held responsible for any loss, claim, cost, damage, or injury whether direct or indirect resulting from the actions or omissions of a Third-Party service provider.
  • While Travelstar endeavours to ensure the accuracy and reliability of the information presented on its Travelstar travel management platform, no guarantees are made regarding the availability, quality, or suitability of services offered by Third-Party service providers. Customers accept that all transactions are conducted at their own risk, and any disputes, claims, or complaints regarding the services shall be addressed directly with the Third-Party service provider in accordance with their contract terms.
  • The Customer bears sole responsibility for providing accurate and complete information when inputting the details for the Travel Management Services they wish to book. It is the Customer’s responsibility to verify that the details of the services meet their specific requirements before confirming the booking.
  • Travelstar shall not be liable for any errors made by the Customer in inputting or selecting booking details including but not limited to travel dates, destinations, passenger information, or other preferences. Any consequences arising from such errors, including additional costs, disruptions, or denial of services, are the exclusive responsibility of the Customer.

23. Booking Process

The booking process is designed to be user-friendly and efficient on the Travelstar travel management platform:

  • Customers can search for available travel services by entering their preferences, including destination, travel dates, number of travellers and service type (e.g., flights, hotels, etc.). Based on these inputs, a list of matching options will be displayed, providing details such as pricing, availability, features, and relevant Third-Party service provider information.
  • Upon selecting a preferred option, Customers will be able to review the booking details, including pricing breakdown, applicable service terms, and any additional fees or conditions. Customers must provide necessary information such as names, contact details, and payment details, all of which will be handled in accordance with Travelstar’s Privacy Policy.
  • Customers can finalise their bookings using any of the secure payment options available on the Travelstar travel management platform. Once payment is successfully processed, a confirmation email or notification will be sent. The confirmation will include a summary of the booking, including reference numbers, contact information for the Travel Provider, and any applicable instructions for using the selected Travel Management Service.

24. Ticket Issuance

  • Tickets are issued immediately once payment for a booking is confirmed unless alternative arrangements (potentially subject to additional charges) have been agreed upon. Wherever feasible, Travelstar may provide e-tickets. In cases where e-tickets or ticketless travel options are unavailable, a ticket on departure will be arranged. However, certain airlines may impose additional fees for this service.
  • All reservations and travel document processing will be handled by Travelstar at its business address: No. 57A, A.J Marinho Drive, Victoria Island, Lagos, Nigeria.

25. Pricing and Availability

  • The pricing and availability of Travel Management Services displayed on the Travelstar travel management platform are determined solely by the respective Third-Party service providers and are subject to change without prior notice. While Travelstar endeavours to ensure that the information presented is accurate and up-to-date, fluctuations in pricing, service availability, and other conditions may arise due to external factors beyond Travelstar’s control, such as changes in demand, seasonal adjustments, or operational constraints imposed by the Third-Party service provider.
  • Customers are strongly advised to verify prices and availability at the time of booking as changes may impact the final cost or available options. Any updates, adjustments, or discrepancies in pricing will be communicated directly by the Third-Party service provider during the booking process.
  • Prices are not guaranteed until full payment has been received and tickets have been issued. Until that point, all prices remain subject to change without notice. Additionally, Travelstar’s pricing model is structured around achieving a minimum number of bookings per month. If this threshold is not met, additional charges may apply, with full details communicated in advance.
  • All quoted prices are inclusive of VAT, applicable taxes, duties, levies, service charges, or fees unless expressly indicated otherwise.

26. Force Majure

  • Except as expressly stated in these booking conditions, neither Travelstar nor the applicable Third-Party service provider shall bear liability or pay any compensation to the Customer if Travelstar’s contractual obligations to the Customer are prevented, restricted or interfered with by reason of Force Majeure, These refer to events beyond Travelstar’s control, the consequences of which could not be avoided even with all reasonable measures. Examples include warfare, terrorism (including threats thereof), civil unrest, significant health risks such as the outbreak of serious illness at the travel destination, or natural disasters like floods, earthquakes, or weather conditions that render travel to or staying at the destination unsafe.
  • Such circumstances may also include actions by governments or local authorities, including port closures, industrial disputes, lock closures, natural or nuclear disasters, fires, chemical or biological incidents, and other comparable events beyond the control of Travelstar or the Third-Party service provider involved.
  • Notwithstanding anything to the contrary in this document, where such instance of Force Majeure continues for a continuous period of more than one (1) month, either Party may terminate this agreement by written notice to the other Party.
  • Where this Agreement is terminated for Force Majeure, no party shall have any liability to the other except rights and liabilities which accrued prior to such Termination, and such rights shall continue to subsist.

27. Severability

  • If any provision of these T’s and C’s is found to be invalid, illegal, or unenforceable for any reason, the validity, legality, and enforceability of the remaining provisions shall remain unaffected and continue to be fully effective.

28. Entire Agreement

  • These T’s and C’s represent the entire agreement between Travelstar and the Customer concerning the use of the Travelstar travel management platform and supersede all prior communications, notices, agreements, or proposals, whether oral or written, relating to the subject matter contained herein.

30. Exclusion of Warranty

  • The Travelstar travel management platform and all Travel Management Services provided through it are offered on an “as is” and “as available” basis without warranties of any kind, whether express, implied, or statutory. This includes, but is not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or continuity of performance.
  • While Travelstar has implemented reasonable measures to ensure the security and functionality of the platform, Travelstar does not warrant that the platform will be uninterrupted or error-free, free of service disruptions, or protected against viruses and harmful components. Customers are solely responsible for adopting security measures to safeguard their devices, systems, and data.
  • Travelstar makes no warranties or representations about the accuracy, completeness, or reliability of any Travel Management Services or information provided on its platform. Customers assume full responsibility for verifying the accuracy and relevance of any information provided on the platform before making travel decisions.
  • The listing of any Travel Provider or their services on he listing of any Travel Provider or their services on the Travelstar travel management platform does not constitute an endorsement, sponsorship, or recommendation by Travelstar. Additionally, Travelstar does not verify, assess, or guarantee the quality, legality, safety, or suitability of services provided by any Third-Party service provider. The Customer’s decision to engage or transact with such Third-Party service provider is made entirely at the Customer’s own risk and discretion.
